Terms and Conditions

Terms governing access to and use of Diadem Technologies websites, products and services.

1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern access to and use of websites, online services, software, applications, products, equipment-related resources, and services provided by Diadem Technologies LLC and its applicable brands, divisions, and service offerings (“Diadem,” “we,” “us,” or “our”). By accessing or using a Diadem website, purchasing or using a Diadem product or service, creating an account, or otherwise interacting with our services, you agree to these Terms. If you do not agree, do not use the applicable website, product, or service.

2. Scope of These Terms

These Terms apply generally to Diadem websites, products, software, equipment, digital services, support resources, and related offerings. Certain products or services may also be governed by additional license agreements, order forms, subscription terms, merchant or payment-processing agreements, warranty terms, acceptable-use requirements, or third-party terms. Those additional terms supplement these Terms and control for their specific subject matter if there is a direct conflict.

3. Eligibility and Account Responsibility

You must have the legal capacity to enter into a binding agreement to use services requiring an account, purchase, subscription, or contract. If you act for a business or organization, you represent that you are authorized to bind it. You are responsible for safeguarding account credentials, activity through your account, and keeping materially important account information accurate.

4. Products, Equipment, Software, and Services

Diadem develops, manufactures, distributes, integrates, licenses, supports, or makes available technology products and services that may include commercial equipment, point-of-sale technology, kiosks, printers, scanners, access-control technology, software, business applications, payment-related technology, integrations, hosting, communications, and other technology solutions. Features, specifications, availability, compatibility, and service requirements may vary by product, configuration, location, plan, or third-party provider.

We may improve, update, replace, discontinue, or modify products, features, interfaces, documentation, or service components. Website information does not guarantee that a particular product, configuration, price, feature, or service will remain available indefinitely.

5. Orders, Pricing, Taxes, and Payment

Prices, quotations, promotions, and availability are subject to change unless otherwise stated in a binding written agreement. Customers are responsible for applicable charges, taxes, shipping, fees, and other disclosed amounts. Diadem may correct pricing or product-information errors and may reject or cancel orders where reasonably necessary, including suspected fraud, unauthorized transactions, inventory limitations, or material pricing errors.

Recurring services or subscriptions may continue until cancelled under the terms applicable to that service. Third-party payment processors, financial institutions, acquiring banks, or other payment providers may impose additional terms.

6. Shipping, Delivery, and Installation

For physical products, shipment, delivery, or installation dates are estimates unless expressly guaranteed in writing. Delays may result from inventory, carriers, supply chains, customization, installation requirements, force majeure, or circumstances outside our reasonable control. Additional shipping, title, and risk-of-loss terms may appear in an order, invoice, quotation, or product-specific agreement.

7. Returns, Refunds, and Warranties

Returns, refunds, exchanges, and warranties are governed by the policy or written terms applicable to the particular product, service, order, or subscription. Certain products may be customized, configured, licensed, activated, installed, or otherwise subject to return limitations. Manufacturer or third-party warranties may apply to some components. Nothing in these Terms limits rights that cannot lawfully be waived.

8. Software Licenses and Acceptable Use

Software and digital products are licensed, not sold, unless expressly stated otherwise. Subject to applicable fees and product-specific terms, authorized customers receive a limited, non-exclusive, non-transferable right to use software for its intended purpose.

You may not unlawfully copy or redistribute software, circumvent licensing or security controls, introduce malicious code, interfere with system integrity, attempt unauthorized access, violate third-party rights, or use Diadem products or services for fraudulent, deceptive, abusive, or unlawful activity.

9. Payment and Financial Technology

Certain Diadem offerings may integrate with payment processors, merchant-acquiring services, financial institutions, card networks, gateways, or other financial-technology providers. Diadem is not a bank unless expressly stated for a particular regulated service. Payment processing and merchant services may require separate underwriting, approval, pricing, network rules, provider agreements, and regulatory requirements. Approval for a Diadem technology product does not guarantee approval for financial or payment-processing services.

10. Third-Party Products, Services, and Integrations

Diadem products may connect to or depend upon third-party hardware, software, networks, APIs, payment providers, telecommunications providers, cloud platforms, marketplaces, or other services. Third-party services are governed by their own terms and privacy practices. Diadem is not responsible for third-party changes, outages, restrictions, acts, or omissions outside our reasonable control.

11. Intellectual Property

Diadem websites, product designs, software, interfaces, documentation, graphics, logos, trademarks, service marks, content, and other proprietary materials are owned by or licensed to Diadem and protected by applicable intellectual-property laws. Except for rights expressly granted to use a product or service, no ownership rights are transferred.

12. Feedback and Suggestions

If you voluntarily provide ideas, suggestions, comments, or feedback about Diadem products or services, you permit Diadem to use that feedback for product development, improvement, and business purposes without an obligation to compensate you. This does not transfer ownership of your confidential information or personal data.

13. Privacy and Data

Our collection and use of personal information is addressed in our Privacy Policy and applicable notices. Third-party integrations may have separate privacy policies. If a service allows you to submit or process information about other individuals, you are responsible for having the authority and lawful basis required to provide and use that information.

14. Security

You may not defeat or interfere with security controls, licensing controls, authentication mechanisms, access restrictions, monitoring, or technical safeguards associated with Diadem products and services. Promptly notify Diadem if you reasonably believe an account or service accessible to you has been compromised.

15. Service Availability and Changes

Diadem works to provide reliable products and services, but uninterrupted or error-free operation cannot be guaranteed. Maintenance, upgrades, internet or telecommunications failures, third-party outages, security events, equipment failures, or circumstances outside our control may affect availability. We may make changes reasonably necessary for security, reliability, compliance, compatibility, or functionality.

16. Suspension and Termination

Diadem may suspend or restrict access where permitted by the applicable agreement, including for nonpayment, expiration or cancellation of a subscription or license, security risk, fraud, unlawful activity, material breach, misuse, or circumstances where continued access could harm Diadem, a customer, a third party, or a system. Upon termination, rights under an applicable license or subscription may end, subject to surviving contractual or legal obligations.

17. Disclaimers

To the maximum extent permitted by law, Diadem websites and services are provided on an “as is” and “as available” basis except where an express written warranty applies. Diadem disclaims implied warranties to the extent permitted by law, including merchantability, fitness for a particular purpose, and non-infringement. Website descriptions are general information and do not replace product-specific quotations, specifications, contracts, or warranties.

18. Limitation of Liability

To the maximum extent permitted by applicable law, Diadem and its officers, employees, affiliates, contractors, and suppliers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or loss of profits, revenue, business opportunity, goodwill, or data, arising from or related to use of a website, product, or service. Product-specific agreements may establish additional or different limitations.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

19. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Diadem and its applicable affiliates, officers, employees, and agents from third-party claims, liabilities, losses, and reasonable expenses arising from unlawful use of the services, material breach of these Terms, violation of third-party rights, or content or data submitted without required authorization.

20. Compliance With Laws

You are responsible for using Diadem products and services in compliance with laws and regulations applicable to you and your activities. Technology, payments, communications, privacy, security, export, accessibility, and industry requirements may vary by jurisdiction and use case.

21. Governing Law and Disputes

These Terms are governed by the laws applicable to Diadem Technologies LLC, without regard to conflict-of-law principles, except where mandatory law requires otherwise. A product-specific contract may establish different governing law, venue, arbitration, or dispute-resolution provisions, in which case that agreement controls for the applicable product or service.

22. Changes to These Terms

Diadem may update these Terms as products, services, legal requirements, or business practices evolve. The current version will be posted on this page. Continued use after an updated version becomes effective constitutes acceptance to the extent permitted by law.

23. Severability and No Waiver

If a provision is found unenforceable, the remaining provisions remain effective to the fullest extent permitted by law. Failure to enforce a provision on one occasion does not waive the right to enforce it later.
